Terms of Service

1. Agreement
These Terms of Service ("Terms") govern your access to and use of the EthicGuard app for Atlassian Jira and the website at ethicguard.ai (together, the "Service"), provided by EthicGuard, operated by Rostyslav Chabria, Kraków, Poland ("EthicGuard", "we", "us"). By installing, accessing, or using the Service you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization, and "you" refers to that organization. If you do not agree, do not use the Service.
2. The Service
EthicGuard is a Jira-native quality tool that reviews acceptance criteria for ambiguity, missing edge cases, and untestable assertions, stamps verdict labels, surfaces coverage and defect metrics, and can enforce a sprint-entry rule. Analysis is performed with AI. We may add, change, or remove features over time.
3. Eligibility & accounts
You must have a valid Atlassian account and the necessary administrative permissions to install and configure the Service in your Jira site. You are responsible for the activity of users under your Atlassian site and for maintaining appropriate access controls.
4. Licence to use
Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal business purposes during your subscription. You may not copy, modify, reverse-engineer, resell, or create derivative works of the Service except as permitted by law.
5. Acceptable use
You agree not to use the Service to break the law, infringe others' rights, transmit malware, attempt to gain unauthorized access, disrupt or overload the Service, or circumvent its licensing or usage limits. We may suspend access to protect the Service or other customers from harm.
6. Your data & privacy
EthicGuard is a bridge, not a store. We never persist your Jira issue content; we keep only structured coordinates and metadata as described in our Privacy Policy, which is incorporated into these Terms. As between you and us, you retain all rights to your data. You are responsible for ensuring you have the right to process the Jira content you submit to the Service.
7. Third-party services
The Service runs on Atlassian Forge and relies on third parties including Atlassian and AI providers (e.g. Atlassian Rovo / Anthropic and, where you configure them, OpenAI or Google). Your use of those platforms is also governed by their terms, and we are not responsible for their acts or omissions. The Service depends on the availability of these third parties.
8. Fees, billing & trial
EthicGuard is offered as a paid app billed through the Atlassian Marketplace on a per-user basis, with a free trial as stated on the listing. Billing, taxes, invoicing, and refunds are handled by Atlassian under the Atlassian Marketplace Terms of Use. Your subscription continues until cancelled in accordance with those terms. We do not separately collect payment details.
9. Intellectual property
The Service, including its software, design, and trademarks, is owned by EthicGuard and protected by law. Except for the licence granted above, no rights are transferred to you. Feedback you provide may be used by us without restriction or obligation.
10. AI output & no professional advice
The Service uses AI to generate QA findings and verdict labels. These outputs are advisory and probabilistic, may contain errors or omissions, and are not a substitute for human review or professional judgment. You are responsible for any decisions you make based on the Service's output. We do not warrant that any defect will be detected or that any verdict is correct.
11. Disclaimer of warranties
To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation.
12. Limitation of liability
To the maximum extent permitted by law, EthicGuard will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Service will not exceed the greater of the fees you paid for the Service in the twelve (12) months before the event giving rise to the claim, or EUR 100. Nothing in these Terms excludes liability that cannot be excluded under applicable law.
13. Indemnification
You will indemnify and hold EthicGuard harmless from claims, damages, and expenses arising out of your misuse of the Service, your violation of these Terms, or your violation of any law or third-party right, except to the extent caused by our own breach.
14. Term & termination
These Terms apply while the Service is installed or used. You may stop using and uninstall the Service at any time; uninstalling removes the limited metadata we hold for your installation. We may suspend or terminate access for breach of these Terms or to comply with law. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and governing law) survive.
15. Changes to these Terms
We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above and, where appropriate, an in-product or listing notice. Your continued use of the Service after changes take effect constitutes acceptance.
16. Governing law
These Terms are governed by the laws of Poland and applicable European Union law, without regard to conflict-of-laws rules, and without prejudice to mandatory consumer protections in your country of residence. The courts of Kraków, Poland have jurisdiction, subject to any mandatory rights you have to bring proceedings elsewhere.
